1. Who We Are and How to Contact Us

WelLink (the “App” or “WelLink”) is a health, fitness and wellbeing platform provided by:

In these Terms, “AL-HALLOUL RAQMIYAH Medical”, “AL-HALLOUL”, “WelLink”, “we”, “us” or “our” refers to AL-HALLOUL RAQMIYAH Medical (One Partner).

These Terms govern your access to and use of WelLink, including its applications, websites, connected wearable functionality, AI-powered features and related services.

2. Acceptance of These Terms

By downloading, installing, registering for, accessing or otherwise using WelLink, you confirm that you have read, understood and agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use WelLink.

Where we require separate consent for particular processing activities, including certain processing of health or other Sensitive Data, accepting these Terms does not replace that consent.

You must have the legal capacity required under applicable law to enter into these Terms.

Where WelLink is made available to a child or person who cannot independently provide legally valid consent, use of the service must be authorized by a parent, guardian or other legally authorized person as required by applicable law.

3. Definitions

For these Terms:

App means the WelLink mobile application, web application and any related software, including updates and enhancements.

Services means the features, functionality and services provided through WelLink.

Content means text, graphics, images, audio, video, information, recommendations, insights, metrics, scores, reports or other material made available through WelLink.

User or End User means an individual accessing or using WelLink.

User Content means information or content that you enter, upload, submit or otherwise make available through WelLink.

Connected Device means a wearable, fitness band, smartwatch, smartphone, health device, wellness device or other supported device connected to WelLink.

Vital Data means health, wellness, physiological or biometric measurements processed through WelLink, such as heart rate, HRV, SpO₂, blood pressure, body temperature, ECG, sleep information, activity measurements and other supported measurements.

AI Services means artificial intelligence, machine-learning systems, Large Language Models (“LLMs”) and related automated technologies used by WelLink.

AI Insights means information, explanations, summaries, recommendations, predictions, scores or other outputs generated wholly or partly using AI Services.

4. Purpose of WelLink and Important Health Notice

WelLink is designed to support health awareness, fitness, wellbeing and an active lifestyle.

Depending on the Services and Connected Devices you use, WelLink may allow you to monitor or analyze information such as:

• activity and movement;

• steps;

• exercise and workouts;

• heart rate;

• heart rate variability (HRV);

• blood oxygen saturation (SpO₂);

• sleep;

• calories;

• blood pressure;

• body temperature;

• body composition;
  

• stress;

• fatigue;

• strain; and

• other health, fitness and wellness measurements.

WelLink may use algorithms, analytics and artificial intelligence to generate wellness information, trends, scores and personalized insights.

WelLink Is Not a Substitute for Medical Care

Unless a particular product or service is expressly identified and appropriately authorized as a medical service or medical device, WelLink and its Connected Devices are intended for general wellness, fitness and informational purposes.

WelLink does not replace professional medical advice, diagnosis, treatment or emergency medical care.

Measurements, scores, AI Insights, notifications, recommendations and other information presented through WelLink may be estimates and may be inaccurate, incomplete or affected by factors including device positioning, sensor quality, user movement, connectivity, physiological differences and software limitations.

You should consult an appropriately qualified healthcare professional before making medical decisions based on information available through WelLink.

Do not disregard professional medical advice or delay seeking medical care because of information provided through WelLink.

If you believe you are experiencing a medical emergency, seek immediate professional emergency medical assistance. Do not rely on WelLink or its AI functionality for emergency assistance.

5. Registration and Your Account

Certain WelLink Services require an account.

When creating and maintaining an account, you agree to:

1. provide accurate, current and complete information;

2. maintain accurate profile information;

3. protect your username, password and authentication credentials;

4. not knowingly allow unauthorized persons to access your account;

5. promptly notify us if you suspect unauthorized account access; and

6. accept responsibility for activity conducted through your account where legally applicable.

You must not impersonate another person or create an account using information you are not authorized to use.

We may suspend or restrict an account where reasonably necessary for security, fraud prevention, legal compliance or enforcement of these Terms.

6. Licence to Use WelLink

Subject to these Terms, we grant you a personal, limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use WelLink for its intended purposes.

This licence does not transfer ownership of WelLink, its software, technology or Content to you.

Except where expressly permitted by applicable law, you must not:

• copy or reproduce substantial portions of WelLink;

• modify, translate or create unauthorized derivative works of WelLink;

• reverse engineer, decompile or disassemble WelLink;

• attempt to obtain source code or proprietary algorithms;

• circumvent authentication, security or technical protections;

• interfere with the operation or security of the Services;

• introduce malware, viruses or harmful code;

• access WelLink through unauthorized automated systems, bots, scrapers or crawlers;

• use WelLink to violate applicable laws;

• use WelLink to infringe another person’s intellectual-property or privacy rights;

• use WelLink for fraudulent, abusive, threatening or harmful purposes; or

• resell, sublicense or commercially distribute WelLink without our written authorization.

7. Intellectual Property

WelLink, including its software, interfaces, designs, trademarks, databases, algorithms, documentation, graphics, branding, Content and related technology, is owned by or licensed to AL-HALLOUL and is protected by applicable intellectual-property laws.

Third-party components integrated with WelLink remain the property of their respective owners and may be subject to separate licence terms.

These Terms do not transfer any intellectual-property ownership to you.

You may use Content made available through WelLink only as permitted by these Terms and applicable law.

You must not remove, obscure or alter copyright, trademark or other proprietary notices appearing within WelLink.

7.1 Feedback

If you voluntarily provide suggestions, ideas or feedback concerning WelLink, you grant us a worldwide, perpetual, royalty-free right to use that feedback for developing, improving and operating our products and services without an obligation to compensate you.

This does not give us ownership of your Personal Data.

8. User Content

Where WelLink allows you to submit User Content, you confirm that you have the necessary rights and permissions to submit that Content.

You must not submit User Content that:

• violates applicable law;

• infringes third-party rights;

• contains malicious software;

• is fraudulent or deliberately misleading;

• violates another person’s privacy; or

• is otherwise prohibited by these Terms.

You grant us a non-exclusive, worldwide, royalty-free licence to process, reproduce, store and display User Content only to the extent reasonably necessary to operate, secure, maintain and improve WelLink and provide the Services.

Our processing of Personal Data contained in User Content remains subject to our Privacy Policy and applicable law.

9. Privacy and Data Protection

Your use of WelLink requires processing certain Personal Data.

Depending on the Services you use, this may include:

• account information;

• profile information;

• device information;

• activity information;

• location information where authorized;

• heart rate;

• HRV;

• SpO₂;

• sleep information;

• blood pressure;

• body temperature;

• body composition;
  

• exercise information; and

• other health and wellness information.

Personal Data is processed in accordance with our WelLink Privacy Policy and applicable laws of the Kingdom of Saudi Arabia, including the Saudi Personal Data Protection Law (“PDPL”) and its Implementing Regulations.

Certain health and vital information may constitute Sensitive Data under applicable law.

Where explicit consent is required for processing Sensitive Data, we will request that consent separately.

Acceptance of these Terms does not constitute consent where applicable law requires a separate or explicit consent mechanism.

10. Artificial Intelligence and Automated Insights

WelLink may use artificial intelligence, machine learning, algorithms and Large Language Models to provide certain features.

These technologies may generate AI Insights based on information available through WelLink.

AI functionality may be used to:

• analyze Vital Data;

• identify patterns and trends;

• summarize wellness information;

• explain health and wellness measurements;

• generate personalized wellness insights;

• generate recommendations;

• provide conversational AI functionality;

• calculate or explain wellness indicators;

• assist users in understanding their information; and

• improve WelLink functionality.

10.1 Use of Third-Party AI Providers

WelLink may use third-party AI, cloud and LLM providers to provide some AI-powered functionality.

These providers may include:

OpenAI, Anthropic, and other AI, machine-learning, cloud or Large Language Model service providers selected by us from time to time.

Depending on the feature being used, selected information may be transmitted to and processed by these providers.

This may include selected Vital Data or wellness information where necessary to generate the requested functionality.

Processing of Personal Data through these services is further explained in our Privacy Policy.

Where required under applicable law, we will obtain your explicit consent before Sensitive Data is processed through third-party AI services.

10.2 Data Minimization for AI

We seek to limit information submitted to AI providers to information reasonably necessary for the relevant functionality.

Where reasonably practicable, direct identifiers may be removed, separated, pseudonymized, de-identified or otherwise minimized before information is processed by an external AI provider.

10.3 AI Can Make Mistakes

You understand that AI and LLM technologies are probabilistic technologies.

AI Insights may therefore:

• contain errors;

• be incomplete;

• misunderstand information;

• produce inconsistent results;

• make incorrect assumptions;

• fail to identify important information; or

• generate information that appears plausible but is inaccurate.

You should not assume that an AI Insight is correct simply because it is presented confidently or appears personalized.

10.4 AI Is Not Medical Advice

Unless expressly stated otherwise for a specifically regulated service:

AI Insights are provided for informational, educational, fitness and wellness purposes only.

They do not constitute:

• medical advice;

• diagnosis;

• treatment;

• prescription;

• emergency medical guidance; or

• a substitute for advice from a qualified healthcare professional.

You should not use an AI Insight as the sole basis for making significant medical or health decisions.

11. Connected Devices

WelLink may integrate with fitness bands, smartwatches, smartphones, wellness devices and third-party wearable platforms.

Compatibility may vary depending on:

• device manufacturer;

• model;

• firmware;

• operating system;

• Bluetooth implementation;

• permissions;

• third-party APIs; and

• other technical requirements.

We do not guarantee that every device will remain compatible with WelLink indefinitely.

Third-party manufacturers may change or discontinue APIs, operating systems, permissions or services outside our control.

Measurements provided by Connected Devices may be subject to sensor limitations and should not automatically be considered clinically accurate unless the relevant device is expressly identified and authorized for that purpose.

12. Third-Party Services and Integrations

WelLink may integrate with or provide access to services operated by third parties.

These may include:

• wearable platforms;

• cloud providers;

• analytics providers;

• payment processors;

• communication services;

• AI providers;

• LLM providers; and

• other technology services.

Third-party services may be governed by their own terms and privacy policies.

We are not responsible for independent third-party services outside our reasonable control.

Your use of a third-party service may therefore be subject to additional terms between you and that provider.

13. Purchases, Returns and Refunds

Where WelLink sells physical Connected Devices, subscriptions or other paid Services directly to consumers, purchases, returns and refunds will be handled in accordance with the purchase terms displayed at the time of purchase and applicable Saudi consumer-protection requirements.

Nothing in these Terms limits any mandatory consumer rights available to you under applicable Saudi law.

14. Product Warranty

Unless different warranty terms are expressly provided with a particular product, Bands sold directly by us are covered by a limited one-year warranty from the date of purchase, subject to applicable Saudi consumer-protection requirements.

The warranty applies to manufacturing defects in materials and workmanship under normal intended use.

Where a valid warranty claim is accepted, we may, as appropriate and subject to applicable law:

• repair the defective device;

• replace the defective device; or

• provide an appropriate refund.

The warranty does not normally cover damage resulting from:

• misuse;

• neglect;

• accidents;

• unauthorized modification or repair;

• use outside published operating conditions;

• normal wear and tear;

• cosmetic damage that does not affect functionality; or

• incompatible or unauthorized accessories.

Nothing in this limited warranty excludes or reduces mandatory rights provided under applicable Saudi law.

15. Updates and Changes to WelLink

We may release updates to:

• improve performance;

• introduce functionality;

• address security vulnerabilities;

• maintain compatibility;

• comply with legal requirements; or

• improve user experience.

Certain updates may be necessary for WelLink to continue functioning properly.

We may modify, suspend or discontinue particular Services where reasonably necessary.

Where required by applicable law or where a material change significantly affects users, we will provide appropriate notice.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in:

• our Services;

• technology;

• AI functionality;

• Connected Devices;

• legal requirements;

• security requirements; or

• business operations.

Where a material change requires notice or renewed acceptance under applicable law, we will provide the appropriate notice or request.

The “Last Updated” date identifies the current version of these Terms.

17. Service Availability

We seek to maintain reliable availability of WelLink but cannot guarantee uninterrupted operation.

WelLink may temporarily become unavailable because of:

• maintenance;

• updates;

• infrastructure failures;

• internet connectivity;

• third-party service outages;

• wearable-device connectivity;

• telecommunications failures;

• cybersecurity incidents; or

• circumstances outside our reasonable control.

We may temporarily suspend access where reasonably necessary to maintain security, protect users or comply with applicable law.

18. Account Suspension and Termination

You may stop using WelLink at any time.

Where account-deletion functionality is available, you may request deletion through the applicable account functionality or by contacting us.

We may suspend or terminate access where reasonably necessary because:

• you materially violate these Terms;

• your account creates a security risk;

• fraudulent or unlawful activity is suspected;

• we are required to do so by law;

• your use threatens WelLink, another user or a third party; or

• the relevant Service is discontinued.

Termination of your account does not automatically require immediate deletion of every record where retention is required or permitted under applicable law.

Personal Data will be handled following termination in accordance with our Privacy Policy.

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, WelLink and its Content are provided on an “as available” basis.

We do not guarantee that:

• WelLink will always be uninterrupted;

• every Connected Device will always remain compatible;

• every measurement will be completely accurate;

• every AI Insight will be correct;

• every feature will always be available;

• the Services will satisfy every user’s requirements; or

• WelLink will be completely free from technical errors.

Nothing in this section excludes warranties or rights that cannot legally be excluded under applicable Saudi law.

20. Limitation of Liability

To the maximum extent permitted by applicable law, AL-HALLOUL and its directors, officers, employees, contractors, suppliers and service providers will not be liable for indirect, incidental, consequential or special losses resulting from use of or inability to use WelLink.

This may include losses resulting from:

• service interruption;

• device connectivity problems;

• inaccurate measurements;

• third-party services;

• unauthorized access outside our reasonable control;

• reliance on general wellness Content; or

• inaccurate or incomplete AI Insights.

However, nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

In particular, these Terms do not limit mandatory consumer rights available under the laws of the Kingdom of Saudi Arabia.

21. User Responsibility

You are responsible for:

• using WelLink in accordance with these Terms;

• maintaining the security of your account;

• providing accurate information;

• using Connected Devices according to their instructions;

• exercising appropriate judgment regarding wellness information;

• seeking professional medical advice when appropriate; and

• complying with applicable laws.

You must not intentionally misuse WelLink or use it in a way that may damage the Services, other users or third parties.

22. Indemnification

To the extent permitted by applicable law, you may be responsible for losses, claims or reasonable expenses arising directly from:

• your intentional misuse of WelLink;

• your material breach of these Terms;

• your unlawful conduct through WelLink; or

• your infringement of another person’s rights.

This provision does not apply to the extent that liability results from our own breach, negligence, unlawful conduct or other matters for which liability cannot legally be excluded or transferred.

23. Governing Law

These Terms and your use of WelLink are governed by the applicable laws and regulations of the Kingdom of Saudi Arabia.

Nothing in these Terms deprives a consumer of mandatory protections provided under applicable Saudi law.

24. Dispute Resolution

If you have a complaint concerning WelLink, we encourage you to contact us first so that we can attempt to resolve the matter.

Any dispute that cannot be resolved amicably will be handled by the competent authorities or courts of the Kingdom of Saudi Arabia, subject to applicable Saudi laws and regulations.

25. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms expressly presented for a particular Service, constitute the agreement governing your use of WelLink.

Severability

If a provision of these Terms is found to be invalid or unenforceable by a competent authority, the remaining provisions will continue to apply to the extent permitted by law.

No Waiver

Failure by us to enforce a provision of these Terms does not automatically constitute a waiver of that provision or our right to enforce it later.

Assignment

You may not transfer your contractual rights or obligations under these Terms without our authorization where such authorization is legally permitted to be required.

We may transfer our rights or obligations as part of a corporate restructuring, merger, acquisition or transfer of the WelLink business, subject to applicable law.

Survival

Provisions which by their nature are intended to continue following termination—including intellectual-property provisions, privacy obligations, liability provisions and governing-law provisions—will continue where applicable.

26. Relationship With the Privacy Policy

These Terms govern your use of WelLink.

Our Privacy Policy separately explains how we collect, use, disclose, transfer, retain and protect Personal Data, including Sensitive Data and Vital Data.

The Privacy Policy also explains:

• processing of health and wellness information;

• AI and LLM processing;

• use of OpenAI, Anthropic and other AI providers;

• international transfers;

• data retention;

• your privacy rights; and

• how to withdraw consent where applicable.

Where applicable law requires explicit consent, accepting these Terms does not replace the separate consent required under the Privacy Policy or within WelLink.
